1. Acceptance of terms
These Terms of Service (“Terms”) form a binding agreement between you and Minimart governing your access to and use of the Minimart mobile application, our website at minimartapp.io, and any related services (together, the “Service”).
By downloading, installing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you don’t agree, please don’t use the Service.
2. The service
Minimart is a mobile point-of-sale app that helps small businesses record sales, track inventory and expenses, and manage staff. The Service is provided “as is” and may be updated, changed, or discontinued at our discretion.
You must be at least 18 years old and legally able to enter into a contract to use Minimart.
3. Accounts and staff
To use most of the Service you need to create an account. You’re responsible for:
- Providing accurate information when you sign up.
- Keeping your password and any device that’s signed in secure.
- All activity that happens under your account.
If you invite staff members, you’re responsible for the roles and permissions you grant them and for ensuring they follow these Terms.
4. Acceptable use
You agree not to:
- Use the Service for anything illegal or fraudulent.
- Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service, except where allowed by law.
- Interfere with or disrupt the Service, our infrastructure, or other users’ use of the Service.
- Use automated means to access the Service in ways that could harm it or place unreasonable load on it.
- Upload viruses, malware, or any content that infringes on the rights of others.
- Resell, sublicense, or otherwise commercially exploit the Service without our written permission.
5. Your business data
You keep ownership of the business data you enter into Minimart (“Your Data”). You grant us a limited license to host, store, process, and transmit Your Data solely so we can provide the Service to you and your team.
You’re responsible for making sure you have the right to enter any customer, supplier, or staff information into Minimart, and for complying with applicable laws (including data protection laws) when you do.
We handle Your Data as described in our Privacy Policy.
6. Fees and paid features
The Minimart app is free to download and use for its core features. We may introduce paid plans or optional paid features in the future. If we do:
- Prices, billing terms, and included features will be clearly displayed before you purchase anything.
- Any purchases made through Google Play are also subject to Google Play’s terms.
- Unless otherwise stated, fees are non-refundable except where required by law.
7. Intellectual property
Minimart, including the app, our website, the Minimart name and logo, and all related software, designs, and content, is owned by us or our licensors and is protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business. These Terms don’t grant you any right to use our trademarks or branding without our written permission.
8. Third-party services
The Service may link to or integrate with third-party products, such as Google Play or authentication providers. We’re not responsible for those third-party services, and your use of them is governed by their own terms and privacy policies.
9. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
Minimart is a tool for running your business. It’s not accounting, tax, or legal advice. You’re responsible for how you use the reports and data Minimart provides.
10. Limitation of liability
To the fullest extent permitted by law, Minimart and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service.
Our total liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) USD 100.
11. Termination
You can stop using Minimart at any time by deleting your account in the app or by contacting us.
We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service. When we can, we’ll give you reasonable notice so you can export Your Data.
Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply after termination.
12. Changes to these terms
We may update these Terms from time to time. When we make material changes, we’ll notify you through the app or by email and update the “Effective date” above. Your continued use of the Service after the changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of The Gambia, without regard to its conflict-of-law rules. Any disputes arising out of or related to these Terms or the Service will be resolved exclusively in the courts located in Banjul, The Gambia, unless a different jurisdiction is required by applicable consumer-protection law where you live.
